MERGER & ACQUISITION MANAGER

OUR CLIENT

Our client company is a multinational in the retail market with a turnover of 3 billion euro and 17.000 employees

RESPONSIBILITIES

  •  Build up expansion strategy together with Italy top management as well as company group headquarters
  • Build and maintain detailed understanding of market dynamics, regulations, competitors, etc.
  • Overall management and execution of M&A/BD projects:
    • Identification of potential acquisition targets / business development projects
    • Negotiation with the sellers
    • Valuations (DCF, multiples, return analysis, etc.)
    • Review of due diligence reports
    • Preparation of non-binding offers, binding offers, term sheets, assistance with final transaction documentations, structuring, settlement, etc.)
    • Preparation of investment memorandums for internal decision-making process
    • Preparing post acquisition performance reviews
    • Participation in integration processes
  • Manage junior M&A colleagues, further develop their capabilities to effectively support and contribute to the M&A/BD projects
  • Build relationships and liaise with external advisors, brokers, providers of finance
  • Direct reporting to the Italian CEO
  • Tight cooperation with the Group M&A headquarters

REQUIREMENTS

  • 5+ years of experience in transaction advisory (M&A advisory, due diligence), private equity, or management consultancy
  • CFA (advantage)
  • Superb negotiation skills, interpersonal skills
  • Experience and knowledge of M&A
  • Understanding of local and international accounting standards and finance areas
  • Very good knowledge of MS Office (i.e. Excel, Word, PowerPoint) and excellent financial modelling skills in Excel
  • Analytical and problem-solving skills
  • Ability to work independently and make independent decisions based upon detailed analysis and review
  • Proactive, structured approach and diligence
  • Very good time-management skills, decision making ability
  • Fluency both in Italian and English
  • Willingness to travel within Italy, driving license
